- For a U.S. software and engineering company, we consulted with foreign legal counsel in India and advised on setting up a joint venture where the company owns a majority of control. Due to certain shareholder rights under Indian corporate law, we recommended use of a U.S. LLC to serve as a vehicle to define the corporate governance and to have the entity set up a wholly owned subsidiary in India. The client got the benefit of a familiar legal system and avoided some potential disengagement problems in the future.
- For a U.S. engineering services company, we advised on a strategy for using volume purchases as valuable credits towards acquisition of a foreign engineering services company.
- For a U.S. engineering company with a foreign affiliate, we negotiated terms for managed staff augmentation services for aerospace drafting and engineering.
- For a foreign manufacturer of semiconductor wafers, we established a sales subsidiary, negotiated contracts with its sales force, advised on intercompany transactions and on contracting with U.S. customers. After an incubation period, the client will be in a position to pursue a strategy of small acquisitions in the U.S.
