Licensing leverages the previous investment of the licensor and accelerates business opportunity for the licensee. Under a license, the owner (or authorized person) of intellectual property grants the right to another to use that intellectual property for an agreed purpose. Licensing calls for an understanding of business and legal issues in innovation, intellectual property development and protection, retention, possible joint ownership, financing, exploitation, registration, taxation, employment, and divestiture and exit planning.
We advise clients on licensing of trademarks, copyrights, software, trade secrets and, in conjunction with separate patent counsel, patents. In some cases, as licenses expire, we assist our clients in renewal or some form of buyout of licensed rights for a perpetual license.
