People. It is often said that people are an enterprise’s most valuable asset.  We assist clients on managing their extended workforce – ranging from employees, contractors and suppliers to co-investors, outsourcers and alliance partners — for sustainable enterprise value.  This includes matters relating to employment law, intellectual property and know-how, limited contractual restraints on competition, human capital planning and development, shared services affiliates (captives) and outsourcing of human resources administrative functions and for limited “platform” business formations to specialized service providers.

Process. Those involved in business today know that a business’ workflow, or business process, is crucial to success.  At Bierce & Kenerson, P.C. we sit down with clients to understand their vision for a holistic approach on integrating different business processes into a dynamic enterprise.  We assist clients in integrating and managing different work flows across the enterprise’s line-of-business employees, administrative employees, suppliers, business partners and both their extended supply chain and  value chain.  Typical transactions involve strategic sourcing, strategic alliances, joint ventures, teaming agreements and related governance processes.  We view deal structures as an interdisciplinary design that reflects comparative analysis across business models and risk profiles.

Technology.  At Bierce & Kenerson, P.C. we work to make technology work best for a client’s enterprise. We advise clients on legal and regulatory issues governing business technologies, including software development and maintenance, software licensing, web design and e-commerce, content publishing, call centers, business process management and emerging issues such as Green IT, virtualization and cloud computing.  We focus on the life cycles of both technologies and contractual relationships for smoother transitions between old and new technologies and business alliances.

Capital investment. Businesses need capital for property, plant, equipment and other capital expenses as well as working capital.  We help clients address financial challenges through both traditional and alternative capital structures that generate higher ROI and shareholder value from the business’ core competencies.  This combination includes new venture funding, strategies for avoiding capital investment by converting capex to operating expense, and addressing legal issues involving the governance, risk management and compliance (“GRC”) functions.
